Should a TLC driver form an LLC?
Some drivers, especially those who own several cars or run a base, benefit from an LLC or corporation. For many single-car drivers it changes little. Here’s how to tell.
Sole proprietor vs LLC vs S-Corp for drivers
| Sole proprietor | Single-member LLC | S-Corp | |
|---|---|---|---|
| Federal tax | Schedule C | Schedule C (by default) | Corporate return + owner salary |
| NYC business tax | UBT may apply | UBT may apply | General Corporation Tax |
| Setup in NY | None | Articles + publication within 120 days | Corporation or LLC + Form 2553 |
| Often makes sense for | Most single-car drivers | Owners wanting a separate business identity | High-profit owners after running the numbers |

Things to check first
- Your TLC license, plates and insurance must match how the car is owned. Changing ownership to an LLC can change your insurance.
- New York City taxes S-Corps differently from most states, so the usual S-Corp savings may not apply.
- An LLC has yearly costs and paperwork.

Frequently asked
Does an LLC lower my taxes as a driver?
Not by itself. A single-member LLC is taxed like a sole proprietor by default. Savings, if any, come from elections like S-Corp, which need careful math in NYC.
Will an LLC change my TLC insurance?
It can, because the insured owner and vehicle registration may change. Talk to us before you move a car into an LLC.
